The following Terms and Conditions shall apply to all users of EZeats, used by you as a Service provider, Vendor or as the receiving party "Customer" and come into force once you accept an order or service through EZeats platform or through any other form of communications with EZeats.

Please note that you should review our Privacy Policy and these Terms carefully and immediately cease using our services if you do not agree to these Terms. By clicking on read and understand you explicitly confirm your consent of its content.

The "Customer" agrees and accepts that the use of the services provided by EZeats is at the sole liability of himself, and further acknowledges that EZeats disclaims all representations and warranties of any kind, whether express or implied.

1 PREAMBLE Whereas EZeats is a web application dedicated to serving all restaurants and allows all clients of those restaurants to make their own orders and pay for them through the application within the Arab Republic of Egypt through independent service providers, and whereas customers periodically require such services, Hence, EZeats is willing to arrange and provide such services through its technological platforms.

2 DEFINITIONSThe following definitions apply to the terms and conditions set out below, These Terms and Conditions, along with the Privacy Policy, hereby sets out the whole agreement and understanding between EZeats and the "Customer" whether an individual or entity who access our services

"We", "Us", "Our", "EZeats" shall refer to EZeats, its employees and authorized agents

"The Customer", "Users", "You", "Your" shall refer to the EZeats users whether individual or entity.

Third party", "providers ", " shall refer to restaurants, foods & beverages providers in agreement with EZeats.

"Prohibited Items" means any goods or materials, of which is prohibited by any law, rules, and regulations in Egypt.

"Force Majeure " mean an act of God, which human has no hand in happening and can not except or anticipate its occurrence including but not limited to pandemics, fire, floods, storms, hurricanes, typhoons, volcanic activities, or earthquakes, as well as acts, orders or requests of a sovereign or a government and /or of anybody purporting to be or to act for such authority, wars, whether declared or not, war-like actions, revolutions, riots , civil insurrections, or civil commotions , as well as strikes, lock outs, and/or similar actions in labour disputes, and any other comparable cause beyond the control of a party unless its performance has been expressly guaranteed by expressly waving the exemption of a Force Majeure event.

"Customer "or "Client" shall refer to the recipient of the provided services under these terms and conditions.

REGISTRATION:A) As part of the registration process, you are required to provide us with certain information and to keep the information true, current, complete, and accurate at all times. The information includes but not limited to the following:

By completing your registration, you acknowledge having read, understood and agreed to be bound by the terms of use, along with the privacy policy, as they may be amended from time to time, which are hereby incorporated and made an integral part of this Agreement.

B) In the event you are a Customer/Client, please note that you need to provide the following details accurately and precisely, in addition to yours:

3 SERVICESThe Services constitute a technology platform that enables users of EZeats" application or to make their food and beverages order(s) from Third-Party Providers of such services, subject to an Agreement with EZeats

4 LIABILITIESYou should be aware that EZeats does not function as a restaurant or catering service. However, EZeats is a mediator that connects the "Customer" with the Third-Party Providers in order to undertake the agreed upon the orderings services to the concerned Customer.

EZeats services shall be used upon the Customer"s request with ("Third Party Providers"). On the other hand, the Customer acknowledges that EZeats has no responsibility or liability to any of such services provided to the Customer by ("Third Party Providers") through the use of the Services other than as expressly set forth in these terms.

EZeats has no role in the work of the service providers and is not responsible of its quality or kind or qualification of the service provider and how they deal with the client/user; also it"s not responsible of the safety standards or the ability of the service provider to do the service and it is solely the Customer"s decision to determine if a third-Party provider meets the Custome"s needs and expectations or not.

Moreover, EZeats shall not be party in disputes between the Customer and a third-Party Provider. Whereas, by using the said Services the Customer acknowledge the potential risks of the Third-Party Providers. Accordingly, the using of the Services is at the Customer"s risk and judgment, EZeats shall not have any liability arising from or in any way related to the Customer"s transactions or relationship with Third Party Providers.

EZeats is hereby authorized to use the location-based information provided by any of the telecommunication companies when the Customer uses the mobile phone to make a reservation or booking of catering service, the location-based information will be used only to facilitate and improve the probability of locating the Customer"s location so that the "Third Party Provider "can reach the Customer and perform the desired Service.

EZeats shall be entitled to disclose to all companies within its group, or as so required by the law or by directive or requested from any governmental body, the particulars of the customer in the possession of EZeats in any way as EZeats in its absolute discretion, deems suitable, or if it considers it in its interests to do so.

Any complaint in respect of the Services, the Customer has to inform EZeats of the said complaint in writing within the 24 hours of using EZeats mobile application or websites for the booking of catering services/restaurant reservations in order to enhance our services in future deals.

EZeats shall be entitled to add to, vary or amend any or all these terms and conditions at any time and the Customer shall be bound by such addition, variation or amendment once such addition, variation or amendment are incorporated into these terms and conditions at EZeats"s website Terms & Conditions on the date that EZeats may indicate that such addition, variation or amendment shall come into effect.

5 RESPONSABILITIES OF EZEATS.EZeats shall provide its services and meet its obligations under this Agreement in a timely and workmanlike manner, using knowledge and recommendations for performing the services which meet generally acceptable standards in the Service Provider"s community and region, and will provide a standard of care equal to, or superior to, care used by service providers similar to EZeats on similar projects.

All the calls made to EZeats call center shall be recorded by EZeats for quality and training purposes in the event the Customer places a query on our application/website including query with respect to our Services, applicable fees or terms of Service, you hereby expressly agree to consent to receive our responses, whether by way of telephonic calls or electronic mail or any other suitable means of electronic communication, to such query and all related information with respect to our Services. For removal of doubts, related information shall include without limitation any marketing and/or commercial information. You understand and agree that such information shall in no event qualify as unsolicited commercial communication under any other applicable law.

6 CANCELLATION POLICYCancellations of orders shall be according to restaurants policy, without any obligations or liability on EZeats.

7 THIRD PARTY SERVICES AND CONTENTThe Services may be made available or accessed in connection with "Third Party Providers" and content (including advertising) that EZeats does not control, you acknowledge that different terms of use and privacy policies may apply to you or use of such Third-Party services and content, EZeats doesn"t endorse such Third-Party services and content and in no event shall EZeats be responsible or liable for any products or services of such Third-Party providers.

8 USE OF THE SERVICESSubject to the Customer"s compliance with this Agreement, EZeats grants the Customer"s and its subsidiaries (in case of an entity) a limited, non-exclusive, non-sub licensable, revocable, non- transferrable license to:

(i) access and use the Applications solely in connection with the provision of the Services;

(ii) access and use any content, information and related materials that may be made available through the Services; and

(iii) access and use the website interface and Applications solely in connection with the provision of the Services. Any rights not expressly granted herein are reserved by EZeats and may be revoked at any time.

9 INTELLECTUAL PROPERTY RIGHTSThe Customer or its Subsidiaries may not remove any copyright, trademark or other proprietary notices belonging to EZeats from any portion of the Services, reproduce, modify , prepare , publicly perform, transmit , stream , broadcast, or otherwise exploit the Services except as expressly permitted by EZeats in writing , decompile, reverse engineer or disassemble the Services except as may permitted by applicable law lint to mirror or frame any portion of the Services cause or launch any programs or scripts for the purpose of scraping , indexing surveying or otherwise data mining any portion of the Services or unduly burdening or hindering the operation and/or functionality of any aspect of the Services or attempt to gain unauthorized access to or impair any aspect of the Services or its related systems or networks.

10 USER ACCOUNTSIn order to use most aspects of the Services, you must register and maintain an active personal user Services account ("Accounts"). ordering and serving Alcoholic drinks is the sole responsibility of the restaurant and the guest user as per the governing rules and EZeats is legally not responsible in this regard. EZeats does not promote selling alcohols and does not encourage under age people or those who are not allowed to use alcohols to do so and its their sole responsibility.

Account registration requires you to submit to EZeats certain personal information, such as your name , address, mobile phone number and age, etc. , as well as at least one valid credit card, You agree to maintain accurate , complete, and up to date information in your Account, your failure to maintain accurate , complete, and up to date Account information, including having an invalid or expired credit card on file, may result in your inability to access and use the Services or EZeats" termination of this Agreement with you , You are responsible for all activity that occurs under your Account, and as such, You agree to maintain the security of your Account username and password at all times, Unless otherwise permitted by EZeats in writing.

11 ELECTRONIC COMMUNICATIONSBy creating an Account, you agree that you are communicating with us electronically. Therefore, you consent to receive communications from us electronically. the Services will communicate with you via e-mail or may send you information text (SMS) messages, as well as by posting notices on the application/website as part of the normal business operation of your use of the Services, you acknowledge that opting out of any of the said means of communication may impact your use of the Services.

12 CONFIDENTIALITYUser(s) shall not disclose any information received under the contract of service with Buff EZeats to any third party. Access to any information which pertains to business of EZeats shall be kept confidential to the extent it might adversely affect EZeats"s business. User(s) shall be liable to indemnify EZeats against any loss of business or reputation due to violating the confidentiality obligation and any of its punitive acts.

13 DISCLAIMERSThe information contained in this application/website is for general information purposes only, the information provided by EZeats t while we endeavor to keep the information up to date and correct, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability or availability with respect to the website or the information, products, services, or related graphics contained on the website for any purpose. Any reliance you place on such information is therefore strictly at your own ris.

The Services are provided “as is” and “as available.” EZeats disclaims all representations and warranties, express, implied or statutory, not expressly set out in these terms, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement, in addition, EZeats makes no representation, warranty, or guarantee regarding the reliability, timeliness, quality, suitability or availability of the Services or any services or goods requested through the use of the Services, or that the services will be uninterrupted or error-free, EZeats does not guarantee the quality, suitability or ability of third party providers, you agree that the entire risk arising out of your use of the services, and any services or good requested in connection therewith , remains solely with you, to the maximum extent permitted under applicable laws.

14 LIMITAION OF LIABILITYEZeats shall not be liable to you for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost data, personal injury, or property damage, even if EZeats has been advised of the possibility of such damages, EZeats shall not be liable for any damages, liability or losses incurred by third party arising out of your use of or reliance on the services or your inability to access or use the services or any transaction or relationship between you and any third party provider, even if EZeats has been advised of the possibility of such damages , EZeats shall not be liable for delay or failure in performance resulting from causes beyond EZeats" reasonable control, you acknowledge that third party service providers providing catering services request through EZeats are solely liable and responsible for any damages that may occur during the provision of services by third party including but not limited to torts, personal injury, or property damage.

These limitations do not purport to limit liability that cannot be excluded under the applicable laws.

15 INVOICING AND PAYMENT TERMSPayment must be made in EZeats on the completion of the Service that was requested in ordering in a form acceptable to EZeats.

EZeats provides a bill which fully details all charges. Payment shall be made on EZeats via payment gateway of a third party based on the client"s request and possible to send it via sms on the registered phone.

16 INSURANCE POLICYEZeats does not include any charges towards insurance, EZeats is not responsible for insuring any goods that are transferred by third party providers that has been requested through EZeats"s platform.

17 INDEMNIFICATIONYou agree to indemnify and hold EZeats, its affiliates, sponsors, partners, directors, officers and employees harmless from and against, and to reimburse EZeats with respect to, any and all losses, damages, liabilities, claims, judgments, settlements, fines, costs and expenses (including reasonable related expenses, legal fees, costs of investigation) arising out of or relating to your breach of this Terms and Conditions, along with our privacy policy or use by you or any third party of the Services.

18 FORCE MAJEUREEZeats will not be liable for any delay, interruption or failure in the provisioning of services if caused by acts of God, including but not limited to: declared or undeclared war, fire, flood, storm, slide, earthquake, power failure, the inability to obtain equipment, supplies or other facilities that are not caused by a failure to pay, labor disputes, or other similar events beyond our control that may prevent or delay service provisioning.

19 UNENFORCEABLE PROVISIONSIf any part of this Terms and Conditions is found to be invalid or unenforceable under applicable law, such part will be ineffective to the extent of such invalid or unenforceable part only, without affecting the remaining parts of the Terms and Conditions in any way what so ever.

20 GOVERNING LAWThe rights and obligations of the parties pursuant to this Terms and Conditions are governed by, and shall be construed in accordance with, the laws of the Arab Republic of Egypt.

You may be subject to other local, provincial or state and national laws. You hereby irrevocably submit to the exclusive jurisdiction of the Courts of the Arab Republic of Egypt for any dispute arising under or relating to this Terms and Conditions and waive your right to institute legal proceedings in any other jurisdiction. We shall be entitled to institute legal proceedings in connection with any matter arising under this Terms and Conditions in any jurisdiction where you reside, do business or have assets.

21 WAIVERNo waiver of any of the provisions of this Agreement will be deemed to constitute a waiver of any other provision nor shall such a waiver constitute a continuing waiver unless otherwise expressly provided in writing duly executed by the party to be bound thereby.

22 ENTIRE AGREEMENTThis Agreement along with the EZeats" Privacy Policy, as may be updated from time to time and posted at [The company"s website] ,constitutes the complete agreement and understanding between us with respect to the Service and supersedes any other form of Agreement.

23 RESTRICTIONS FOR NON-COMMERCIAL USEYou agree that any commercial use of this content may lead to monetary compensation and legal liability, and EZeats shall take all legal measures to protect its rights.

24 TERMINATION OF AGREEMENTEZeats may terminate this agreement unilaterally at any time.
